1. Acceptance of Terms

By accessing or using TwinEdge AI's industrial IoT platform, websites, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

TwinEdge AI provides an industrial IoT platform that enables:

• Real-time monitoring of industrial equipment
• Predictive maintenance using AI/ML algorithms
• Digital twin visualization and analytics
• Multi-protocol data ingestion (OPC UA, Modbus, MQTT)
• Alert management and workflow automation

3. Account Registration

To use our Services, you must:

• Create an account using Microsoft Entra ID authentication
• Provide accurate and complete registration information
• Be at least 18 years old or have parental consent
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Plans

We offer Trial, Starter, Professional, and Enterprise subscription tiers. Features and limits vary by plan as described on our pricing page.

4.2 Free Trial

New accounts receive a 14-day free trial with limited features. No credit card is required for the trial period.

4.3 Payment

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as specified in an Enterprise agreement.

4.4 Price Changes

We may change our prices upon 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Reverse engineer or decompile any part of the Services
• Use automated means to access the Services without permission
• Share account credentials or allow unauthorized access
• Transmit malware, viruses, or harmful code
• Violate any third-party rights

6. Your Data

6.1 Ownership

You retain all rights to your data. By using our Services, you grant us a limited license to process your data solely to provide the Services.

6.2 Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws. For Enterprise customers, we offer Data Processing Agreements (DPAs) upon request.

6.3 AI/ML Training

Your operational data may be used to train and improve our AI/ML models. Enterprise customers may opt out of this usage.

7. Intellectual Property

TwinEdge AI and its licensors own all rights to the Services, including software, algorithms, designs, and documentation. You may not copy, modify, or distribute any part of the Services without our written permission.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Predictive maintenance recommendations are informational only and should not replace professional judgment.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWINEDGE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold TwinEdge AI harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the subscription:

• At any time with 30 days' notice for convenience
• Immediately if the other party breaches these Terms
• Upon expiration of the subscription term without renewal

Upon termination, your access to the Services will be disabled. You may export your data within 30 days of termination.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
